Terms of Service

1. Parties to the Agreement

OnixLand (operated by Multiservicios Kada EIRL, Jr. Arica 280, Miraflores, Lima, Peru) provides the SaaS transport management platform available at onixland.cloud (hereinafter "the Platform").

The "Client" is the company (hotel, fleet, or organization) that subscribes to a plan and accesses the Platform through the credentials provided upon approval of their application.

OnixLand is a technology intermediary platform. It does not operate vehicles nor employ drivers registered on the platform. Clients are responsible for managing and supervising their own drivers.

2. Services Provided

OnixLand provides hotels, travel agencies, transport fleets and car rental companies with:

  • Tourism operation management dashboard (drivers, vehicles, documents, dispatch)
  • Auto-dispatch system with intelligent driver assignment (OWNED → TRUSTED → GLOBAL pool priority)
  • Real-time GPS tracking of active drivers
  • Automatic WhatsApp notifications for passengers and drivers
  • Electronic billing (SUNAT) and financial reports
  • Integration API for proprietary systems (plan-dependent)
  • Driver document management module
  • B2B interoperability: connection with hotels, fleets, and travel agencies on the platform
  • TripZoneFly marketplace access (agency plans)

3. Plans and Billing

  • Billing is monthly and renews automatically.
  • Prices exclude VAT/IGV (18%) for clients in Peru.
  • OnixLand reserves the right to modify prices with 60 days' advance notice.
  • Payments are non-refundable unless the failure is attributable to OnixLand.

4. Trial Period and Activation

Starter plans include a 45-day free trial from the account activation date. At the end of the trial period, the subscription activates automatically unless cancelled at least 7 days in advance. No credit card required during the trial.

5. Driver and Guide Memberships

Driver and guide memberships are independent of the Client's plan:

  • Driver (conductor): $35 USD/month — paid directly by the driver to OnixLand
  • MINCETUR Tour Guide: $25 USD/month — paid directly by the guide

Hotel plans do not limit the number of associated drivers. Each driver pays their membership independently. Hotel Staff sub-accounts are free under any hotel plan.

If OnixLand fails to meet the SLA, the Client will receive a proportional credit on their next invoice, upon request.

7. Client Obligations

  • Maintain the confidentiality of access credentials.
  • Register only drivers with valid, current documentation.
  • Comply with applicable labor and transport regulations in their jurisdiction.
  • Not use the platform for illegal activities or activities contrary to good faith.
  • Notify OnixLand of any unauthorized use of their account.
  • Obtain consent from their drivers and passengers for data processing.

8. Data Processing Agreement (DPA)

OnixLand acts as a data processor for the personal data the Client introduces into the platform (drivers, passengers, employees). The Client is the data controller and must ensure the legal basis for processing such data.

OnixLand commits to: process data solely per Client instructions, apply adequate security measures, not share data with third parties without Client instruction (except legal obligation), and notify security breaches within 72 hours.

9. Intellectual Property

All OnixLand software, design, brand, and documentation are the exclusive property of Multiservicios Kada EIRL. The Client receives a non-exclusive, non-transferable license limited to internal use within their organization.

Data generated by the Client (trips, drivers, billing) belongs to the Client. OnixLand may use anonymized data for service improvements and aggregated statistics.

10. Limitation of Liability

OnixLand shall not be liable for: loss of profits, indirect or consequential damages, failures in third-party networks or infrastructure, or acts or omissions of drivers registered by the Client. OnixLand's maximum liability is limited to the amount paid by the Client in the preceding 3 months.

11. Cancellation and Termination

  • The Client may cancel at any time from their settings panel.
  • Cancellation takes effect at the end of the current billing period.
  • OnixLand may suspend access for non-payment after 15 days of arrears.
  • OnixLand may terminate service with 30 days' notice if the Client breaches these Terms.
  • After termination, Client data is retained for 90 days and then permanently deleted.

12. Modifications

OnixLand may modify these Terms with 30 days' email notice. Continued use after that date implies acceptance of the changes. Changes that materially affect the service will require the Client's explicit confirmation.

13. Governing Law

These Terms are governed by the laws of the Republic of Peru. Disputes shall be submitted to the arbitration tribunals of Lima, Peru, in accordance with the rules of the Lima Chamber of Commerce Arbitration Center.
